Sentiero Health reserves the right to modify, remove, or add to these Terms at any time at its sole discretion. Sentiero Health may amend these Terms at any time by posting amended terms on the Website. If you continue to use the Website after Sentiero Health posts amended terms, you agree such use demonstrates your acceptance of any updated Terms.

Sentiero Health and its licensors reserve all rights to this Content. Sentiero Health may make available features on the Website that allow you to provide feedback or otherwise submit information to Sentiero Health (“Submissions”). For the sake of clarity, any PHI that has been shared with Sentiero Health will be handled and subject to provisions of a customer's BAA, and is excluded from this “Submissions” definition. By providing any Submission, you acknowledge that such Submission is not confidential and grant Sentiero Health a perpetual, irrevocable, worldwide, non-exclusive, and royalty-free right and license to use it in any way, including providing Services to others. You warrant that you have all the rights necessary to grant this license to Sentiero Health and that all so-called moral rights in such Submission have been waived. You are solely responsible for any Submissions you provide.

Sentiero Health reserves the right to modify, suspend, or terminate access to the Website, or any portion or feature of the Website, at any time for any reason. Furthermore, Sentiero Health reserves the right, but does not have any obligation, to monitor Submissions, Content, and the Website to determine compliance with these Terms. Sentiero Health has the sole right to refuse to post or to remove any material that Sentiero Health finds to be in violation of these Terms.

To the maximum extent permitted by applicable law, Sentiero Health makes no representations or warranties of any kind, express or implied, as to the operation of the Website or the information, content or materials included on the Website. Except to the extent prohibited by applicable law, in no event will Sentiero Health be liable for any direct, indirect, special, punitive, exemplary or consequential losses or damages of whatsoever kind arising out of access to or use of the Website or any information, content, or materials included on or linked from the Website, even if Sentiero Health has been advised of the possibility of such damages.

Notwithstanding the above limitation of liability, if Sentiero Health is found to be liable to you for any losses or damages which arise from your use of the Website, Sentiero Health's liability shall in no event exceed $100 USD, except to the extent prohibited by applicable law.

Indemnity

You agree to indemnify Sentiero Health, its officers, directors, employees, affiliates, and successors in interest and hold them harmless from any demands, loss, liability, claims, or expenses made against Sentiero Health by any third party due to your use of the Website.

Applicable Law and Jurisdiction

These Terms shall be governed by the laws of Delaware, USA and you agree to submit to the non-exclusive jurisdiction of the courts of Delaware, USA regarding any disputes arising under or in connection with these Terms.

Miscellaneous

These Terms constitute the entire agreement regarding your use of the Website. If for any reason a court of competent jurisdiction finds any provision of these Terms invalid or unenforceable, that provision of these Terms will be enforced to the maximum extent permissible and the other provisions of these Terms will remain in full force and effect. The failure by Sentiero Health to enforce any provision of these Terms will not constitute a waiver of future enforcement of that or any other provision.
